Terms of Service

Texnity is a WhatsApp Business Solution Provider using Meta's WhatsApp Cloud API. You must comply with Meta's WhatsApp Business Messaging Policy, Commerce Policy and platform terms. Meta controls suspensions, rate limits, quality ratings, template approvals and conversation pricing.

You must be at least 18, a legitimate verified business with a Meta Business Manager and WhatsApp Business Account. You must provide accurate information, keep credentials secure, and are responsible for all activity on your account.

You may not message without opt-in, send spam, impersonate others, share unlawful/hateful/harassing content, circumvent rate limits, reverse-engineer the service or interfere with security. Violations may result in template rejection, message blocking, suspension/termination and reporting to Meta.

You control your end-user data and warrant that it was collected lawfully with proper consent. You must provide proof of opt-in on request and maintain opt-out mechanisms.

Subscription fees are billed in advance and are non-refundable. Usage/conversation fees are billed in arrears based on WhatsApp Cloud API logs. Conversation pricing varies by country and category and may be changed by Meta at any time. Overdue balances may incur late fees and suspension. Fees exclude taxes and bank charges.

You may cancel anytime; cancellation takes effect at the end of the current billing period, and pre-paid fees are not refunded except where required by law. Texnity may suspend or terminate for breach, non-payment, harmful use or Meta requirements. Termination triggers data deletion per the Privacy Policy.

The service is provided on an "as is" basis. Meta-initiated outages or throttling are outside Texnity's control.

Texnity owns all rights in the service and grants you a limited, non-exclusive, non-transferable, revocable licence for internal business use. You retain ownership of your content, customer data and trademarks.

The service is provided "as is" and "as available" without warranties of merchantability, fitness, non-infringement, accuracy or uninterrupted operation. Deliverability depends on Meta and recipient device/network.

To the maximum extent permitted by law, Texnity is not liable for indirect, consequential or punitive damages, and total aggregate liability is capped at the fees you paid to Texnity in the 12 months preceding the claim.

You agree to indemnify Texnity against third-party claims arising from your use of the service, your content, your violation of these terms, or your violation of Meta policies.

Each party will protect the other's non-public information with at least reasonable care, subject to standard exclusions.

Beta features are provided "as is," may change or be withdrawn at any time, may be unstable, and are excluded from SLAs.

The service relies on the Meta Cloud API, hosting and payment processors. You must comply with applicable third-party terms, and Texnity is not responsible for their outages.

Neither party is liable for events outside its reasonable control, including natural disasters, war, internet outages or Meta restrictions.

We will provide at least 14 days' notice of material changes. Continued use of the service means you accept the updated terms.

These Terms plus the Privacy Policy form the entire agreement. If any provision is unenforceable, the rest remains in effect. You may not assign these terms without consent; Texnity may assign to affiliates or in a merger. These Terms are governed by the laws of the State of California, USA, where Texnity is headquartered.
